Hold Harmless Indemnification

The buyer (“Buyer”) will indemnify, defend, and hold harmless All Mac Inc. (“Seller”), each of the Seller’s Affiliates, and each of the Seller’s Affiliates’ employees, officers, directors, and agents (each, a “Seller Indemnified Party”) from and against any and all liability, loss, damage, expense (including reasonable attorneys’ fees and expenses) and cost (collectively, a “Liability”) that the Seller Indemnified Party may be required to pay to one or more parties, including third parties, resulting from or arising out of (a) personal injury or death of any person as a result of use of any product sold or transferred to the buyer, or any service performed via www.allmacinconline.com, www.allmacinc.com, by direct sale, or any product or service supplied or sold by Seller or its Affiliates or sublicensees or (b) the conduct by Seller or its Affiliates or licensees or sublicensees; except to the extent caused by intentional misconduct of Seller.

 

California Proposition 65

Proposition 65, officially the Safe Drinking Water and Toxic Enforcement Act of 1986, is a law that requires warnings be provided to California consumers when they might be exposed to chemicals identified by California as causing cancer or reproductive toxicity. The warnings are intended to help California consumers make informed decisions about their exposures to these chemicals from the products they use. The California Office of Environmental Health Hazard Assessment (OEHHA) administers the Proposition 65 program and publishes the listed chemicals, which includes more than 850 chemicals. In August 2016, OEHHA adopted new regulations, effective on August 30, 2018, which change the information required in Proposition 65 warnings.
